内外棉株式会社19世纪末20世纪初日本在中国设立的棉纺织企业中的代表性企业。1887年在大阪创立。原为一商业公司，经营棉花买卖、棉花押汇和轧花厂等。1889年在上海设办事处，次年曾一度与筹办中的上海华新纺织新局订立协议，包销该局销往日本横滨、神户两地的棉花；1891年又与印度棉商合作，进口印棉美棉，为当时日本的三大棉商之一。1903年在大阪设内外棉第一棉纺厂，1905年在兵库设第二棉纺厂，开始经营棉纺业。日俄战争后，日本棉业界又一次陷于不景气，内外棉处境困难。为打开困境，1909年在上海筹设内外棉第三棉纺厂，19建成，为日本棉纺界来华设厂的先声。19又建成第四厂，次年建成第五厂，以后陆续设厂，并利用日本占领军势力，分别于19、1925年，开始在日军占领下的青岛、东北金州，大规模设立棉纺织厂。截至1937年止，内外棉在中国境内已设立纺织厂15个，加工印染厂2个,共有纱绽46万枚，线绽12.4万枚，布机4800台。内外棉占日本在华纱厂的比重为纱绽19％，线绽34％，布机16％，也是外国在华纱厂中规模最大的企业，稍逊于中国最大的申新纺织公司，但其实际生产能力超过申新。内外棉技术先进，注重管理，经营得法，又利用中日间的不平等条约所造成的特殊有利地位，营业发展很快。在中国建厂以来，年年盈利，特别在19下期至19下期，连续11次的半年度结算纯利都在一倍以上，最高的纯利率达415％;即使在19后中国纱厂长期陷于困难之际，内外棉仍能保持相当高的利润。到1937年上半年度止，26年来的纯利总和为1.2亿日元以上。内外棉对中国工人进行残酷剥削与压迫,1925年,中国工人阶级发起的反对帝国主义的"五卅"运动，就是由于上海内外棉纱厂枪杀中国工人引起的。1945年日本投降后，内外棉在华企业全部被当时中国政府接收。内外棉留在日本国内的一小部分，也在战争中损失殆尽。1948年底新内外棉成立，原企业于1949年2月解散。
